GENERAL TERMS AND CONDITIONS OF PURCHASE
These General Terms and Conditions of Purchase are applicable to all distance sales of the services provided by SAPA GERMANY LTD (referred to as "we" , "us") through the website www.my-sap.com and represent a contract concluded between you, as a customer, and SAPA GERMANY LTD.
Distance sales carried out are fully in accordance with current national laws and the European Directive on consumer rights (No. 2011/83 EU).
We invite you to carefully review these General Terms and Conditions of Sale before purchasing your chosen service, in order to familiarize yourself in advance with all applicable rules from our side, as well as with all legal requirements and your rights as a customer. Regardless of whether you have performed this action in advance, you should be informed that immediately before making a purchase, you will necessarily have to familiarize yourself with and agree to these General Terms and Conditions, to the Terms of Use of our website, as well as to inform with our Privacy Policy. All of the listed documents are prominently placed on our Website, on its Front Page, and are available to every single visitor and/or costumer of our Website.

(2) Use of the distance sales service described herein is intended solely for costumers. The term "Costumer" means any natural person over the age of 18 who enters into a legal transaction for purposes outside of his commercial activity or profession.
(3) The Services offered by us are described in detail on our Website. By opening each of the trainings/courses offered by us in a separate "Window" on our Website, you will get detailed information about the content, duration and duration of each of the trainings we provide. All the Services specifically described by us are included in the announced price for each individual training.
(4) These General Terms and Conditions of Purchase do not govern the provision of services or the sale of products by entities other than SAPA GERMANY LTD, even in cases where they are presented on our Website through links, banners or other hypertext links. Therefore, before placing an order and/or purchasing products and services from entities other than us, the Customer should check the applicable terms and conditions of sale of the relevant Supplier. In no case, SAPA GERMANY LTD is responsible for providing services and/or products from third parties for their general conditions and applicable rules.
(5) When making a purchase through our Website, the Terms of Use of our Website are also necessarily applicable, which apply in parallel together with these General Terms and Conditions of Purchase.
(6) When making a purchase through our Website, please read our Privacy Policy carefully to inform yourself about all matters related to the protection of your personal data.
2. Price
(1) The prices of the Services provided by us are final and include VAT. They are not subject to renegotiation by the Customer.
(2) In cases where it is applicable, the Price of a given service can be reduced by the use of an individual promotional code by the Customer, which should be filled in the field designated for this purpose before completing the order. If the Client fails to take advantage of the promotional code provided to him, and if an order is placed without a discount applied, SAPA GERMANY LTD is not responsible and should not refund amounts and/or cancel the order.
3. Orders
(1) Orders can only be placed through our website www.my-sap.com .
(2) In order to complete an order, the Customer should add the selected service/s to his "Shopping Cart". Your chosen purchase can be made as a "Guest" or after registering an account in our Website. In case you have chosen to purchase our service as a "Guest", in order to access our trainings, you are obligated to create a costumer profile.
(3) Full information about the personal data that is subject to processing when making a purchase and registering an account can be found in our Privacy Policy, available on the Home Page at www.my-sap.com
(4) The customer is responsible for the services he chooses. The Customer's "shopping cart" and the order summary sent to the Customer after the purchase is completed include a description of the services selected by the Customer.
(5) The customer must click on the shopping cart icon to see the selected services and their total price. The Customer is requested to check the contents of his shopping cart before making the payment, as well as to familiarize himself with the contents of each of the services he has selected.
(6) Before completing the ordering process, the Customer must familiarize himself with these General Terms and Conditions of Purchase and the General Terms and Conditions of our Website and check the appropriate place (checkbox), by which actions he expresses that:

in the case of a contract for the provision of digital content that is not delivered on a tangible medium - the consumer has provided prior express consent to begin the performance during the right of withdrawal period and has provided acknowledgement that he or she thereby loses his right of withdrawal;
(7) Before completing the ordering process, the Customer must familiarize himself with our Privacy Policy and check the relevant place (checkbox), which action indicates that he has been informed about the protection of his personal data.
(8) The Customer completes the ordering process after the valid payment of the Services selected by him and received an e - mail confirmation sent by Us.
4. Order completion
(1) SAPA GERMANY LTD considers the Customer's order as binding, after the entire purchase procedure has been completed, namely with the payment by the Customer and its receipt by us, and the sending of confirmation of the successful finalization of the order to the e- mail address provided by you .
(3) The written confirmation from Us that the Customer receives after finalizing the order includes:

order number

date of purchase;

the requested service/s and its selling price;

the amount paid;

a link with access to the materials for the service chosen by the Client;

A link with access to a "closed" chat group in a social network chosen by the Provider (eg Viber , Telegram , Whatsapp - in cases where the training chosen by the Client includes the provision of such a service;

a copy of these General Terms and Conditions, as well as:

confirmation of your express consent to begin the performance of that contract during the right of withdrawal period and your acknowledgement that thereby you lose the right of withdrawal;
5. Payment terms
5.1. General conditions
(1) The customer is obligated to make a payment using one of the payment methods specified in the order form.
(2) SAPA GERMANY LTD is not responsible in the event that the Customer cannot make the payment due to a reason for which he is responsible, as well as for the specific requirements for authorization of the payment, which have been introduced by the Bank chosen by him/her.
(3) If for any reason the amounts owed by the Customer cannot be debited, the sales process and the sale are automatically cancelled.
5.2. Stripe
(1) If the Customer chooses “Stripe” as a payment method, he/she will be redirected to the website https://stripe.com/en-bg , where the payment for the Services offered by us will be made according to the procedure provided and regulated by Stripe .
(2) Data entered on the Stripe website will be processed directly by Stripe and will not be sent or shared with us. Therefore, we do not have access to your debit/credit card details or other payment instrument if you use one.
(3) In case of payment via this selected method, the total amount due will be debited by Stripe at the conclusion of the online contract.

5.3. PayPal
(1) If the Customer chooses "PayPal" as a payment method, he/she will be redirected to the website www.paypal.com , where the payment for the Services offered by us will be made according to the procedure provided and regulated by PayPal and the contractual conditions established between You and PayPal.
(2) The data entered on the PayPal website will be processed directly by PayPal and will not be sent or shared with us. Therefore, we do not have access to your debit/credit card details or other payment instrument, if one is associated with your PayPal account.
(3) In case of payment via this chosen method, the total amount due will be debited by PayPal at the conclusion of the online contract.

6. Withdrawal of the contract
(1) Getting acquainted in advance and agreeing to the present General Terms and Conditions for the purchase of any training provided by us, each Customer declares that:
1) that he/she agrees the performance of this contract begins during the right of withdrawal period, since he/she has gained access to the materials for the relevant training and/or other service provided by us;
and
2) confirms that he/she knows that in this way he loses his/her right to withdraw from this contract.
(2) In connection with the application of the previous points of this Section, SAPA GERMANY LTD does not owe a return and/or refund of payments made by the Customer in connection with the realization of a purchase from our Website.
7. Access and use of the Service
(1) The customer declares that:

is aware of the fact that SAPA GERMANY LTD is not responsible and does not owe a refund of the paid price of the services in the event of circumstances beyond its control, such as problems with the technical serviceability of the provider platform on which the respective digital content is uploaded/ the written materials; interruption of access to the training module of the SAP server through which the exercises are carried out during the trainings. We undertake to restore access to the Service provided by us in the shortest possible time, and we will report the problems to the competent persons.

is aware of the fact that he should provide himself with a quality Internet connection at an appropriate speed, as well as the technical ability to use the materials and the audio and video content provided by SAPA GERMANY LTD;

is aware of the fact that SAPA GERMANY LTD reserves the right to determine and change the social networks through which the online consultations will take place - in cases where such are provided for in the Service provided by us;

It will not save the provided materials on its own digital and/or physical media, including recording the same by performing "screen recording" and/or by any other technical means (such as phone, camera, laptop, etc.) other than on which are reproduced for the purposes of participating in the Service provided by SAPA GERMANY LTD.

I will not provide access in any way that infringes the intellectual property rights of the Company to any third party .
(2) In the event that the purchased Service includes "Live video / chat", by agreeing to these General Terms and Conditions, the Customer declares that:

Will not record the live video link and/or real-time written communication in any way;

Guarantees the privacy of information containing personal data, provided both by the host of the relevant lecture and by other participants, if any;

Will not use "hate speech" and will not interfere in any way with other participants, if any;

Is aware of the possibility of having his access to the Service terminated if he exhibits aggressive or unacceptable behavior; when it manifests racial, ethnic and religious intolerance, sexual discrimination and calls to violence (including violence against animals); publishes and distributes advertising content, unless SAPA GERMANY LTD has given its prior written consent to this.
(3) Customers can freely express their opinions and impressions of the Services offered by us and conduct discussions by writing comments in the section designated by us on our Website. Prohibited:

Violation of the right to free expression;

Manifestations of racial, ethnic and religious intolerance, sexual discrimination and calls to violence (including violence against animals);

The use of vulgar and offensive expressions, as well as obscene qualifications;

Post pornographic or sexually explicit content;

Publication of advertising messages, except with prior permission from SAPA GERMANY LTD;

Your posting of links to pirated content;
-
Violation of the copyrights of SAPA GERMANY LTD, as well as of third parties.
Any comment that violates these rules is subject to deletion. SAPA GERMANY LTD reserves the right in certain cases to suspend access to the provided service to the relevant person, as well as to take all legal measures to detect the offender and notify the competent authorities.
8. Intellectual property rights
(1) All materials (including written texts, audio and video content, graphic images, photographs, diagrams, drawings, sketches, trademarks and the like) that you access by purchasing a Service offered by us are objects of intellectual property and belong solely to SAPA GERMANY LTD.
(2) Reproduction in whole or in part, modification or use for any reason and on any medium is strictly prohibited, including the Customer has no right on his own behalf or on behalf of others to display, advertise, reproduce, store, translate, processes, publicly presents, copies and/or uses in any other unauthorized way the materials provided to him in whole or in part, without prior express approval from SAPA GERMANY LTD.
(3) The previous point does not apply, in cases where you use the provided materials for personal purposes (such as for the purposes of conducting the training you purchased, for the purposes of improving the knowledge acquired during the training and negotiation of the same, etc.)
(4) In addition to these clauses, the established rules in the General Terms and Conditions for the use of our Website also apply.
9. Irresistible force
(1) The performance of services by SAPA GERMANY LTD may be suspended in the event of unforeseen circumstances or force majeure, preventing or delaying their performance.
(2) SAPA GERMANY LTD will inform the Customer about the aforementioned unforeseen circumstance or force majeure within seven days of its occurrence. If the suspension of services lasts more than 30 working days, the Customer may cancel the order and receive a refund of the amounts already paid.
10. Liability
(1) By accepting these General Terms and Conditions of Purchase, the Customer declares that the use of the Services provided by us will be entirely at his own risk and responsibility.
(2) SAPA GERMANY LTD is not responsible for any damage caused to the Client when using the Services provided or the inability to use the Services offered, unless the same is caused by SAPA GERMANY LTD intentionally or with gross negligence.
(3) SAPA GERMANY LTD is not responsible for the provision of technological, computer and telecommunication means by you, as well as for the acquisition of knowledge necessary to access and use the website and our content (both provided free of charge and received against payment of a certain Service), as well as for the related costs and expenses.
(4) SAPA GERMANY LTD does not guarantee that the Website or any content or Service provided by us for a fee will be uninterrupted, or that any defects will be corrected, or that your use of the Website or the provision of The Paid Service you choose will deliver specific results.
(5) SAPA GERMANY LTD is not responsible for materials published by third parties - photos, texts, electronic references and other materials, including is not responsible if another costumer suffers damages as a result of such actions, as in the Website maintained by us , as well as when conducting personal consultations, Live video / chat in other platforms.
(6) SAPA GERMANY LTD has the right to compensation for all damages resulting from a violation of these General Terms and Conditions and/or unregulated use of the services offered by it.
11. Competent Jurisdiction and Applicable Law
(1) These General Terms and Conditions shall be applied and interpreted in accordance with Bulgarian legislation. The same applies to all outstanding issues.
(2) The competent jurisdiction for resolving all legal disputes arising under these General Terms and Conditions is that of the registered office and address of management of SAPA GERMANY LTD. The Bulgarian court shall have exclusive jurisdiction in relation to any dispute arising out of the use of our Website and/or the Paid Services provided by us, excluding any right under a mandatory provision of the applicable law to institute legal proceedings in the habitual place of residence or domicile to costumers.
(3) Orders placed in accordance with these General Terms and Conditions of Sale are governed by Bulgarian legislation and in particular by the Civil Procedure Code, the Consumer Protection Act, etc.
(4) Customers who are consumers within the meaning of the Consumer Protection Act have the right to submit complaints, signals and proposals to the Consumer Protection Commission in written form on paper or electronically.
(5) With these General Terms and Conditions of Purchase, we inform you that the European Commission has established an online dispute resolution (OS) platform for the out-of-court settlement of consumer disputes. You can find the platform at: http://ec.europa.eu/consumers/odr .
(7) By accepting these General Terms and Conditions of Purchase, You declare that You are informed that SAPA GERMANY LTD does not wish and is not obliged to participate in any dispute resolution proceedings before any alternative dispute resolution body.
12. Final provisions
(1) The validity of the agreements between you and SAPA GERMANY LTD is terminated with the end of the term of your chosen training and the fulfillment of the obligations agreed between you and SAPA GERMANY LTD. However, we would like to inform you that you remain bound by the clauses regarding the protection of the intellectual property of SAPA GERMANY LTD to the extent that the applicable legislation gives us protection over these rights.
(2) In the event of a discrepancy between the General Terms and Conditions of Purchase in Bulgarian and another language accepted by the Customer in relation to the functions of our Website, the meaning and interpretation of the General Terms and Conditions of Purchase in Bulgarian shall prevail.
(3) In the event that any of the established clauses of these General Terms and Conditions are declared invalid, the remaining part of the General Terms and Conditions shall remain in legal force and continue to bind the parties.
(4) SAPA GERMANY LTD reserves the right to change these General Terms and Conditions of Purchase at any time. Therefore, the Customer agrees to these General Terms and Conditions, which are in effect at the time of making the purchase, a copy of which is sent to the e-mail address indicated by him.
